1. Acceptance of Terms
By accessing or using the Alumnipad platform (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Alumnipad.
If you are accepting these Terms on behalf of an institution or organisation, you represent that you have the authority to bind that entity.
2. Definitions
- “Service” refers to the Alumnipad platform, website, and all related services.
- “User” refers to any individual who accesses or uses the Service.
- “Institution” refers to educational institutions, alumni associations, or organisations subscribing to the Service.
- “Content” refers to data, text, images, and other materials uploaded, submitted, or displayed through the Service.
- “Subscription” refers to a paid plan that provides access to premium features.
3. Account Registration
To access certain features, you must create an account. You agree to provide accurate, complete, and current information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Service Description
Alumnipad provides a multi-tenant SaaS platform for managing alumni communities, including:
- Contact and membership management
- Event planning and ticketing
- Fundraising and payment processing
- Mentorship programme management
- WhatsApp Business API messaging
- Social media integration
- Elections and governance
- Analytics and reporting
We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
5. Acceptable Use Policy
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes
- Upload content that is defamatory, obscene, or infringes intellectual property rights
- Attempt to access, interfere with, or disrupt the Service or its infrastructure
- Send unsolicited bulk communications (spam) through the platform
- Share account credentials with unauthorised third parties
- Use automated tools to scrape, crawl, or extract data from the Service
- Violate applicable laws, including data protection and anti-spam regulations
6. Payments and Billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We accept payments via Stripe, M-Pesa, and other supported payment methods.
We may change pricing with 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing.
Institutions are responsible for all taxes applicable to their subscription.
7. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Alumnipad and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
You retain ownership of Content you upload to the Service. By uploading Content, you grant Alumnipad a limited licence to host, display, and process it as necessary to provide the Service.
8. Data Ownership and Processing
Institutions retain full ownership of alumni data uploaded to the Service. Alumnipad processes this data solely to provide the Service, as described in our Privacy Policy and applicable Data Processing Agreement.
Upon termination, institutions may export their data. After the export period (90 days), data will be permanently deleted from our systems.
9. Termination
Either party may terminate the agreement with 30 days’ written notice. We may suspend or terminate your account immediately if you violate these Terms or engage in conduct that is harmful to the Service or other users.
Upon termination, your right to access the Service ceases. Sections that should survive termination (Intellectual Property, Limitation of Liability, Indemnification, Governing Law) will remain in effect.
10. Limitation of Liability
To the maximum extent permitted by law, Alumnipad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service.
Our total liability shall not exceed the amount paid by you in the 12 months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Alumnipad, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.
12. Governing Law
These Terms are governed by the laws of Kenya. Any disputes shall be resolved through arbitration in Nairobi, Kenya, in accordance with the rules of the Nairobi Centre for International Arbitration.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Service with at least 30 days’ notice. Continued use after changes take effect constitutes acceptance of the revised Terms.
